Terms of Service

Please read these terms carefully before engaging Florida Statutory Compliance Bureau for any services. By paying for and using our services, you agree to be bound by these terms.

IMPORTANT NOTICE: Florida Statutory Compliance Bureau is a private administrative support and compliance consulting service. We are not a law firm, we do not employ attorneys in the capacity of providing legal advice, and nothing in these Terms or in any communication from us constitutes legal advice or creates an attorney-client relationship. For legal matters, please consult a licensed Florida attorney.

1 Who We Are

Florida Statutory Compliance Bureau ("FSCB," "we," "us," or "our") is a private compliance consulting and administrative support service based in Plantation, Florida. We specialize in assisting small and mid-sized business owners in navigating the Florida Department of Business and Professional Regulation (DBPR) administrative process to address delinquent license statuses.

We are not affiliated with, endorsed by, sponsored by, or acting on behalf of the Florida DBPR, the Division of Alcoholic Beverages and Tobacco (ABT), the Construction Industry Licensing Board (CILB), or any other state, federal, or local government agency.

2 Acceptance of Terms

By engaging FSCB for any service — including but not limited to submitting a contact form, requesting a Diagnostic Audit, making a payment via Stripe, or otherwise communicating your intent to use our services — you ("Client") agree to be fully bound by these Terms of Service ("Terms").

If you do not agree to these Terms in their entirety, you must not use our services. These Terms constitute a binding legal agreement between you and FSCB.

These Terms apply to all services offered by FSCB, including The Restoration (one-time license restoration service), The Continuity Club (monthly monitoring subscription), and the Compliance Concierge (custom multi-license management service).

3 Services Provided

FSCB provides the following administrative and compliance consulting services:

3.1 Free Diagnostic Audit

A complimentary 15-minute consultation during which we review your DBPR license status, identify any delinquency flags, and outline a recommended course of action. No payment is required, and no service engagement is created solely by requesting a Diagnostic Audit.

3.2 The Restoration (One-Time Service)

A paid service in which FSCB assists the Client with identifying and resolving delinquent license flags through the DBPR administrative portal. This includes reviewing fee arrears, CE credit gaps, and filing paperwork on behalf of the Client where authorized. Pricing starts at $149 (Introductory) or $249 (Standard), as disclosed at time of engagement.

3.3 The Continuity Club (Monthly Subscription)

An ongoing monthly subscription service providing license status monitoring, renewal deadline tracking, CE credit monitoring, and annual renewal support. Priced at $49–$99/month as disclosed at time of subscription. The subscription renews automatically each month until cancelled.

3.4 Compliance Concierge (Custom)

A custom-quoted service for clients with multiple licenses or complex compliance needs. Scope and pricing are determined on a case-by-case basis and confirmed in writing prior to engagement.

All services are administrative and consultative in nature. FSCB does not make legal filings, does not represent clients in legal proceedings, and does not provide legal advice. State fees, application fees, CE course costs, or any other fees payable directly to the DBPR or other agencies are separate from and in addition to FSCB's service fees.

4 Not a Law Firm — Important Disclaimer

FSCB is not a law firm and does not provide legal advice. No attorney-client relationship is created by engaging FSCB. The services we provide are administrative and consultative in nature only.

Our services are limited to assisting with the administrative process of navigating the DBPR portal, organizing documents, tracking deadlines, and providing general guidance based on publicly available information about DBPR requirements.

We do not:

  • Represent clients in administrative hearings, appeals, or legal proceedings
  • Provide legal advice or legal opinions on any matter
  • Guarantee any specific legal outcome or license status change
  • Act as an agent of the state or of any regulatory body

If your license situation involves potential legal violations, criminal charges, civil liability, or complex regulatory disputes, you should immediately consult a licensed Florida attorney. FSCB will refer clients to seek independent legal counsel whenever we believe a legal issue may be present.

5 Client Responsibilities

By engaging FSCB, you agree to:

  • Provide accurate information: You represent and warrant that all information provided to FSCB — including your license number, business details, contact information, and description of your license situation — is true, accurate, and complete to the best of your knowledge.
  • Authorize access: You authorize FSCB to access publicly available DBPR license records on your behalf and to act as your administrative representative in communicating with the DBPR portal system for the purpose of the services engaged.
  • Timely cooperation: You agree to respond to FSCB communications in a timely manner. Delays in your response may delay or prevent successful restoration of your license. FSCB is not responsible for delays caused by your failure to cooperate or provide required information.
  • Payment of state fees: You acknowledge that DBPR fees, CE course fees, and any other fees payable directly to state agencies or third parties are your sole responsibility and are separate from FSCB's service fee.
  • Legal compliance: You agree to use FSCB's services only for lawful purposes and in compliance with all applicable laws and regulations.
  • No misrepresentation: You agree not to misrepresent your identity, your business, or the nature of your license issue to FSCB or to any state agency.

6 Fees & Payment

6.1 Service Fees

FSCB's service fees are disclosed prior to engagement and are payable via Stripe secure payment processing. All fees are in U.S. dollars. Payment is required before FSCB begins work on any paid service engagement.

6.2 Subscription Billing

The Continuity Club subscription is billed monthly on the anniversary of your enrollment date. By subscribing, you authorize FSCB to charge your payment method on file each month until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6.3 State & Third-Party Fees

FSCB's service fee does not include any fees payable to the Florida DBPR, CE course providers, or any other third-party agency. These fees are entirely the Client's responsibility. FSCB will inform you of known state fees during the Diagnostic Audit, but final fee determinations rest solely with the DBPR.

6.4 Failed Payments

If a payment fails, FSCB reserves the right to suspend services until payment is received. For subscriptions, we will attempt to retry failed payments up to three times before cancelling the subscription.

7 Refund Policy

7.1 The Restoration (One-Time Service)

Due to the time and resources invested immediately upon engagement, The Restoration fee is non-refundable once work has commenced (i.e., once we have reviewed your license and begun any administrative steps). If you cancel before any work has commenced, we will issue a full refund within 5 business days.

7.2 The Continuity Club (Subscription)

Monthly subscription fees are non-refundable for the current billing period. You may cancel at any time to prevent future charges. No partial-month refunds are provided.

7.3 No Guarantee of Outcome

Refunds are not provided on the basis of an unsuccessful outcome (e.g., if the DBPR denies reinstatement or if your license has progressed to Null & Void status prior to our engagement). Our fee is for the administrative service we provide, not for a guaranteed result. See Section 8 for our No Guarantee of Outcome policy.

7.4 Dispute Resolution for Refunds

If you believe you are entitled to a refund, please contact us at info@floridacompliancebureau.com within 30 days of the charge. We will review all refund requests in good faith.

8 No Guarantee of Outcome

FSCB makes no guarantee, warranty, or representation that our services will result in the restoration, reinstatement, or renewal of any license. The final determination of any license status rests solely with the Florida DBPR and applicable regulatory authorities.

Factors outside FSCB's control that may affect the outcome of our services include, but are not limited to:

  • The current status of your license at the time of engagement (including whether it has already reached Null & Void status)
  • Accuracy and completeness of information you provide to FSCB
  • Changes in DBPR rules, regulations, or procedures
  • DBPR processing times and internal decisions
  • Outstanding legal violations, disciplinary actions, or criminal matters associated with your license
  • Failure to timely pay state-required fees or complete required CE courses

We will always provide you with an honest assessment of your situation during the Diagnostic Audit, including whether we believe restoration is likely or unlikely based on available information.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FSCB AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits, revenue, or business opportunities
  • Loss of license or business closure
  • Regulatory fines, penalties, or enforcement actions by the DBPR or other agencies
  • Damages arising from reliance on information provided by FSCB
  • Any outcome of DBPR administrative proceedings

IN ANY EVENT, FSCB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FSCB IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, FSCB's liability is limited to the fullest extent permitted by law.

10 Indemnification

You agree to indemnify, defend, and hold harmless FSCB and its owners, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of FSCB's services
  • Any inaccurate or false information you provide to FSCB
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any claim by a third party arising from your license status or business operations

11 Confidentiality

FSCB treats all Client information with strict confidentiality. We will not disclose your personal, business, or license information to any third party except:

  • As necessary to provide the services you have engaged us for (e.g., accessing public DBPR records or submitting information through the DBPR portal on your behalf)
  • As required by law, court order, or regulatory requirement
  • With your explicit written consent

12 Intellectual Property

All content on FSCB's website, marketing materials, and service documentation — including text, graphics, logos, and service processes — is the proprietary property of Florida Statutory Compliance Bureau. You may not reproduce, distribute, or use our content for commercial purposes without express written permission.

13 Termination

FSCB reserves the right to terminate or suspend services to any Client at any time for any of the following reasons:

  • Violation of these Terms
  • Providing false, misleading, or fraudulent information
  • Engaging in abusive, threatening, or inappropriate behavior toward FSCB personnel
  • Failure to make required payments
  • Discovery that the requested services would require FSCB to engage in unauthorized practice of law

Upon termination, FSCB will provide you with a prorated refund for any unperformed services at our sole discretion. For subscriptions, cancellation takes effect at the end of the current billing period.

14 Dispute Resolution

14.1 Good Faith Resolution

We ask that before initiating any formal proceedings, you contact us directly at info@floridacompliancebureau.com to attempt to resolve any dispute in good faith. Most issues can be resolved quickly through direct communication.

14.2 Binding Arbitration

If a dispute cannot be resolved through direct communication within 30 days, both parties agree to resolve the dispute through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Broward County, Florida. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against FSCB.

14.4 Small Claims

Either party may bring individual claims in small claims court in Broward County, Florida, for disputes within that court's jurisdiction.

15 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Broward County, Florida.

16 Changes to These Terms

FSCB reserves the right to update or modify these Terms at any time. Material changes will be communicated to active Clients via email at least 14 days before taking effect. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. The most current version will always be available on our website.
